AI-DADA Terms of Use

These AI-DADA Terms of Use (hereafter the “AI-DADA Terms”) govern the use by the client (hereafter the “User”) of the AI-DADA tool provided by Swatch Ltd, seated Rue Nicolas G. Hayek 1‎, 2502 Biel/Bienne‎‎, Switzerland (hereafter “Swatch”) licensed user of Microsoft AI technologies. AI-DADA enables the User to create custom watch designs using artificial intelligence.

Prior to accessing or using AI-DADA, the User must explicitly accept these AI-DADA Terms by clicking “I accept” or by any equivalent affirmative action required by Swatch. Such acceptance constitutes full, unconditional, and binding consent to these AI-DADA Terms, including without limitation the assignment of intellectual property rights as set forth herein. The User may not access or use AI-DADA without such prior acceptance.

By placing an order through AI-DADA respectively Swatch’s website, the User warrants that he/she is capable of concluding legally binding contracts.

The User agrees to:

Not using AI-DADA for unlawful, defamatory, offensive, or immoral purposes.

Not using AI-DADA to generate content that is harmful, hateful, racist, sexist, lewd or violent.

Not submitting any content (including prompts, instructions) containing references to weapons, firearms and violent content.

Not submitting any content (including prompts, instructions) that infringes on intellectual property or other rights of third parties.

Acknowledge that the User is solely and fully responsible for any text, instructions, prompts, or other content he/she submits into AI-DADA, and that Swatch shall bear no responsibility or liability whatsoever for such content or its consequences.

Acknowledge that access to AI-DADA may be suspended, restricted, or revoked by Swatch in the event of abuse, breach of these AI-DADA Terms, or for any other legitimate reason.

Not to use AI-DADA for any commercial purpose.

By using AI-DADA, the User irrevocably, fully and exclusively assigns to Swatch, worldwide and unlimitedly, all economic copyright and related rights over:

The text, instructions, “prompts” or other elements provided by the User into AI-DADA;

Any visual, design, image, file, or other creation generated by AI-DADA from such elements.

This assignment includes, without limitation, all rights of reproduction, representation, adaptation, modification, translation, distribution, and commercial or non-commercial exploitation, on any medium and by any process, existing or future.

The User is not granted any license on the text, instructions, “prompts” or other elements provided by the User into AI-DADA and on any visual, design, image, file, or other creation generated by AI-DADA from such elements and shall therefore at no time use or allow the use by third parties of the text, instructions, “prompts” or other elements provided by the User into AI-DADA and on any visual, design, image, file, or other creation generated by AI-DADA.

To the full extent permitted by law, the User waives moral rights arising from and as a result of the use of AI-DADA and agrees not to exercise them against Swatch.

The User acknowledges and agrees that Swatch shall have no obligation to produce any watch or creation generated via AI-DADA. Swatch shall be entirely free at its sole discretion to decline to produce, or refrain from pursuing any prompt or creation, in whole or in part, without justification or explanation, or liability of any kind toward the User. In the event of non-production by Swatch of a watch generated by AI-DADA ordered and paid by the User, Swatch will reimburse the User.

These AI-DADA Terms are governed by and will be interpreted in accordance with Swiss law, without regard to any conflict-of-law rules or the United Nations Convention on Contracts for the International Sale of Goods. To the extent permitted by law, the competent courts at the place of the registered office of Swatch Ltd, namely Biel/Bienne, Switzerland, will have exclusive jurisdiction in respect of any disputes arising from the AI-DADA Terms and the User’s use of AI-DADA, subject to Swatch’s right to prosecute a User at his/her place of residence.
